Acceptance of Terms
- These Terms of Service ("Terms") constitute a legally binding agreement between you and Anchors Gp LLC, operating under the brand name GovKarma ("GovKarma," "we," "our," or "us").
- By creating an account, accessing, or using the GovKarma platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
- If you are using GovKarma on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to that entity.
- If you do not agree to these Terms, you must not access or use GovKarma.
- We may update these Terms at any time. We will notify registered users by email or in-app notice before material changes take effect. Continued use after the effective date constitutes acceptance.

Eligibility
- You must be at least 18 years of age to use GovKarma.
- You must be a legally registered business entity or sole proprietor with a valid SAM.gov registration, or be in the process of obtaining one.
- Use of GovKarma is void where prohibited by applicable law.
- GovKarma is intended for use in the United States. Users outside the United States access the platform at their own risk and are responsible for compliance with local laws.

Service Description
- GovKarma is a federal procurement intelligence platform that aggregates publicly available data from SAM.gov, USASpending.gov, Grants.gov, and other government data sources.
- The platform provides tools including, but not limited to: AI-powered opportunity matching, contracting officer directories, expiring contract alerts, pipeline management, GovKarma readiness scoring, compliance matrix generation, proposal assistance, and past performance tracking.
- We do not guarantee contract awards, bid outcomes, agency responses, or the completeness of any third-party data source.
- Federal procurement data is sourced from government APIs and may lag official sources. GovKarma is a decision-support tool, not a substitute for your own due diligence or professional procurement advice.
- Nothing on GovKarma constitutes legal, financial, procurement compliance, or regulatory advice. The platform is a decision-support tool. You should not rely solely on GovKarma for bid/no-bid decisions, compliance determinations, certification eligibility, or any representation made to a government agency. Consult qualified legal and procurement professionals for advice specific to your situation.
- We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

AI-Generated Outputs
- GovKarma uses artificial intelligence to generate opportunity matches, readiness scores, compliance analyses, proposal drafts, and other content ("AI Outputs"). AI Outputs are provided for informational and decision-support purposes only.
- AI Outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific procurement situation. They do not constitute legal, compliance, or procurement advice and must not be used as the sole basis for any bid decision, certification, representation to a government agency, or contract submission.
- You are solely responsible for reviewing, verifying, and validating all AI Outputs before use. GovKarma is not liable for any loss, contract disqualification, debarment, penalty, or other consequence arising from your use of or reliance on AI Outputs.
- We do not use your uploaded files, business profile data, pipeline records, or private content to train, fine-tune, or benchmark any publicly available AI model or any AI model made available to third parties. Aggregated, anonymized platform data that cannot reasonably be linked back to you may be used to improve GovKarma's internal AI systems.

Government Data Accuracy
- Platform content sourced from SAM.gov, USASpending.gov, Grants.gov, and other public databases may contain errors, omissions, duplications, delays, or outdated information.
- Government agencies may modify, cancel, or reclassify opportunities without notice. API access from government data sources may be restricted or terminated at any time, which may affect platform functionality. This does not constitute a breach of these Terms by GovKarma.
- We do not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of government-sourced data. Always verify solicitation details, deadlines, and eligibility requirements through official government sources, including SAM.gov and Grants.gov, before making any procurement decision.

User Responsibility for Procurement Submissions
- You are solely responsible for: (a) verifying all solicitation requirements, deadlines, and eligibility criteria through official government sources before submitting any bid, proposal, or quotation; (b) all certifications and representations you make to government agencies; (c) compliance with the Federal Acquisition Regulation (FAR), agency supplements, and any applicable small business program requirements; (d) the accuracy and completeness of any proposal, capability statement, or past performance submission you prepare using the platform; and (e) meeting all submission deadlines.
- GovKarma does not submit bids or proposals on your behalf and is not responsible for any missed deadline, non-compliant submission, false certification, or adverse procurement outcome.
- You represent that any certification or representation you make to a government agency using content generated or assisted by GovKarma has been independently reviewed and verified by you or a qualified professional.

Account and Security
- You must register with accurate, current, and complete information. You agree to keep this information up to date.
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at hello@govkarma.com if you suspect any unauthorized access to or use of your account.
- We are not liable for any loss or damage arising from your failure to maintain the security of your account.
- You may not share your account credentials with third parties or create accounts on behalf of others without authorization.

Organization Accounts
- If you access GovKarma through a workspace created or administered by your employer or another organization, that organization's administrator(s) may have access to your account activity, pipeline data, uploaded files, and other workspace content.
- Anchors Gp LLC is not responsible for an organization's internal data practices or decisions made by workspace administrators.
- If you leave an organization, your access to the workspace and its data may be revoked by the administrator. Personal data you entered outside the organization workspace is governed solely by our Privacy Policy.

Subscriptions and Billing
- Paid plans are billed in advance on a monthly or annual basis as selected at signup. All fees are in USD and are non-refundable except as expressly stated below.
- You authorize us to charge your designated payment method for all fees incurred. If payment fails, we may suspend your access until payment is resolved.
- We will provide advance written notice to existing subscribers before increasing subscription fees.
- You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
- Annual subscribers who cancel within the first 14 days of a new subscription term will receive a full refund of that term's payment.
- You are responsible for all applicable taxes on fees paid to GovKarma.
- Free Trial: If you register for a free trial, you will have access to designated platform features for the trial period stated at signup (currently 15 days). No payment method is required to start a free trial unless otherwise stated. At the end of your trial, continued access requires selecting a paid plan. We will notify you before your trial ends. Trial accounts not converted to a paid plan will be deactivated and data may be deleted 30 days after trial expiration.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder email at least 7 days before an annual subscription renews. Cancellation after a renewal has processed does not entitle you to a refund except as stated above.
- Plan Limits: Each subscription plan includes specific limits on features, usage, seats, AI-generated outputs, opportunity alerts, and exports as described at govkarma.com/pricing. Exceeding plan limits may result in throttling, feature restrictions, or an invitation to upgrade. We are not liable for any business impact resulting from plan-level restrictions you agreed to at signup.

Acceptable Use
- You may use GovKarma only for lawful purposes and in accordance with these Terms.
- You may not scrape, crawl, copy, harvest, or redistribute platform data in bulk, whether manually or through automated means, without our express written consent.
- You may not attempt to gain unauthorized access to any account, system, or network connected to GovKarma.
- You may not use GovKarma in connection with any unlawful activity, including any violation of federal procurement regulations, the False Claims Act, or applicable anti-corruption laws.
- You may not reverse-engineer, decompile, or attempt to extract the source code or proprietary algorithms of the GovKarma platform.
- You may not interfere with or disrupt the integrity or performance of the platform.
- You may not use GovKarma to develop a competing product or service.
- Violations may result in immediate account suspension or termination without refund.

Intellectual Property
- Federal procurement data from government sources is in the public domain.
- The GovKarma platform — including its design, interface, matching algorithms, scoring models, software, and proprietary data compilations — is owned by or licensed to Anchors Gp LLC and protected by U.S. and international intellectual property laws.
- These Terms do not grant you any right, title, or interest in the platform beyond the limited license to use the service as described herein.
- Any feedback, suggestions, or ideas you submit to GovKarma may be used by us without restriction or compensation.

Your Content
- Content you create in GovKarma — including pipeline notes, contact records, past performance entries, and uploaded files — remains owned by you.
- You grant Anchors Gp LLC a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your content solely to: (a) provide the GovKarma platform to you; (b) respond to your support requests; and (c) perform internal operations necessary to maintain platform reliability and security. This license does not permit us to use your content, uploaded files, or business profile data to train, fine-tune, or improve any publicly available or third-party AI model.
- You represent and warrant that your content does not infringe any third-party rights.
- You are responsible for maintaining backup copies of your content. GovKarma is not a backup service.
- Upon account termination, you may export your data for 30 days, after which it will be deleted from active systems.

Third-Party Services
- GovKarma relies on third-party service providers to operate the platform. Your use of those services is governed by their respective terms and privacy policies.
- We are not responsible for the content, availability, or practices of any third-party service.

Disclaimer of Warranties
- THE GOVKARMA PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
- TO THE FULLEST EXTENT PERMITTED BY LAW, GOVKARMA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DATA WILL BE ACCURATE, COMPLETE, OR CURRENT; THAT AI OUTPUTS WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE; OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability
- TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOVKARMA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
- GOVKARMA'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO GOVKARMA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
- GOVKARMA IS NOT RESPONSIBLE FOR FAILED BIDS, LOST CONTRACTS, MISSED DEADLINES, FALSE CERTIFICATIONS, DEBARMENT, OR ANY BUSINESS OUTCOMES ARISING FROM YOUR USE OF OR RELIANCE ON THE PLATFORM OR ANY AI-GENERATED OUTPUT.

Indemnification
- You agree to indemnify, defend, and hold harmless Anchors Gp LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law, including federal procurement regulations; (d) your content; (e) any certification or representation you make to a government agency using content generated or assisted by GovKarma; or (f) any dispute between you and a third party.

Dispute Resolution
- PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
- Binding Arbitration: Except for claims seeking injunctive relief or claims within small claims court jurisdiction, any dispute arising out of or relating to these Terms or the platform will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Class Action Waiver: YOU AND GOVKARMA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING OF ANY KIND.
- Opt-Out: You may opt out of arbitration by sending written notice to legal@govkarma.com within 30 days of first creating your account.
- Informal Resolution: Before initiating arbitration, contact us at legal@govkarma.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Governing Law
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
- Subject to the arbitration agreement above, any legal action not subject to arbitration must be brought exclusively in the state or federal courts located in Wilmington, Delaware.
- If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any subscription agreements, constitute the entire agreement between you and GovKarma regarding the platform.
- Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it in the future.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms freely, including in connection with a merger or acquisition.
- Notices: Notices to you will be sent to the email on your account. Notices to GovKarma must be sent to legal@govkarma.com.
